EMI Terms & Conditions

EMI facility is available only for eligible software plans offered by Syncack OPC Private Limited.

• The applicable plan price, GST, minimum down payment and EMI tenure will be displayed on the EMI checkout page.
• EMI options may be changed, modified or withdrawn by the Company at its discretion.
• The Company reserves the right to accept or reject an EMI request based on its applicable policies.

• The applicable minimum down payment must be paid before software/license activation or delivery.
• Applicable GST shall be payable by the Customer.
• The down payment shall be adjusted against the total purchase price.
• Payment of the down payment does not remove the Customer's obligation to pay all remaining EMIs.

The Customer is solely responsible for making every EMI payment on or before the scheduled due date.

• The EMI schedule provided in the EMI Agreement shall be treated as the agreed payment schedule.
• The Customer must ensure that sufficient funds are available to complete each payment.
• Delay, failure, rejection or non-payment of an EMI will be treated as a payment default.
• The Customer cannot withhold or postpone EMI payments because of temporary financial difficulties, business issues or non-use of the software.

If an EMI is not paid by the scheduled due date, the Company may take appropriate action under the Agreement and applicable law.

• Mark the account as overdue/default.
• Contact the Customer for payment.
• Temporarily restrict access to applicable services, support or software facilities.
• Suspend or deactivate the software/license where permitted under the Agreement.
• Take appropriate steps for recovery of outstanding amounts as permitted by law.

In case of non-payment, repeated payment defaults or material breach of these Terms & Conditions, Syncack OPC Private Limited reserves the right to cancel or terminate the EMI Agreement, subject to applicable law and the terms of the Agreement.

Amounts already paid under the EMI Agreement shall not automatically become refundable because of cancellation, suspension, termination or Customer's decision not to continue using the software.

AMC is an important and mandatory part of continued software support and maintenance after the initial license period.

• AMC is mandatory from the second year onwards as applicable to the selected software plan.
• The applicable AMC amount shall be as per the Customer's selected plan.
• AMC charges are separate from the original software purchase price and EMI payments.
• AMC becomes payable from the second year of the software/license period.
• AMC charges are non-refundable once paid, except where a refund is expressly required by applicable law or approved by the Company in writing.
• Failure to renew the mandatory AMC may result in suspension or discontinuation of AMC-covered support, maintenance, updates and related services.
• AMC pricing may be revised for future renewal periods with appropriate notice.

• The software/license is subject to the Company's software licensing terms.
• The Customer shall not copy, resell, sublicense, distribute or commercially exploit the software without written permission.
• The license shall not be transferred to another person or business without prior written approval.

• Where installation/data migration is included, the Customer must provide required access and information.
• The Customer is responsible for maintaining appropriate backups of its business data.
• The Company shall not be responsible for data loss caused by inaccurate data supplied by the Customer, third-party systems, hardware failure or circumstances beyond reasonable control.

The Customer agrees to provide accurate and complete information required for the EMI Agreement, including:

• Name
• Mobile Number
• Email Address
• Business / Company Name
• Business Address
• Other information reasonably required by the Company

The Customer is responsible for ensuring that all information provided is correct and up to date.

All applicable taxes, including GST, shall be payable by the Customer as applicable under prevailing law.

The Company may issue applicable invoices and tax documents for payments received.

The Customer agrees that payment reminders, invoices, EMI-related communications, renewal notices and service-related communications may be sent to the email address and/or mobile number provided during registration or purchase.

The Customer is responsible for keeping their contact information updated.

Failure by the Company to immediately enforce any provision of these Terms & Conditions shall not be considered a waiver of the Company's right to enforce that provision at a later time.

The Company reserves the right to modify these Terms & Conditions where reasonably required. The applicable terms accepted by the Customer at the time of entering into the EMI Agreement shall govern that transaction, subject to applicable law and the Agreement.

The Company shall not be liable for delays or inability to provide services caused by circumstances beyond its reasonable control, including natural disasters, government actions, internet/network failures, third-party service failures, infrastructure failures, cyber incidents or other unforeseen events.

Any dispute arising out of or relating to the EMI Agreement shall first be attempted to be resolved amicably between the Customer and the Company.

If the dispute cannot be resolved amicably, it shall be subject to the applicable laws of India and the jurisdiction of the competent courts as applicable.

By accepting these Terms & Conditions, the Customer confirms that:

• All information provided by the Customer is true and accurate.
• The Customer understands the total purchase price, applicable GST, down payment and EMI schedule.
• The Customer agrees to pay every EMI on or before its scheduled due date.
• The Customer understands that payment default may result in suspension, cancellation or termination of the EMI Agreement, subject to applicable law.
• The Customer understands that AMC is mandatory from the second year onwards as applicable to their selected plan.
• The Customer understands that AMC charges are non-refundable once paid, subject to applicable law.
• The Customer has read and voluntarily accepted these Terms & Conditions.
